ActiveState To Spin Out

VANCOUVER, British Columbia – January 30, 2006 – Today, Pender Financial Group announced that it has entered into an agreement with Sophos, Inc. to acquire ActiveState.

The short story is that this is great news for ActiveState and our customers. It's business as usual, except ActiveState will once again be an independent company, as opposed to a small group within a larger company. All our product lines will continue to be developed and sold under the ActiveState brand.

The acquisition is subject to customary closing conditions, and is expected to be completed within the next 30 days.
